Acceptance of Terms.
Welcome to HRDRV. These Terms of Service ("Terms") govern your access to and use of the HRDRV Website and associated services, including related websites, networks, desktop applications, and mobile applications (collectively, the “HRDRV Website” or “Site”). By using the HRDRV Website, you agree to be bound by these Terms and all applicable laws and regulations.
If you do not agree with these Terms, you are prohibited from accessing or using the HRDRV Website.
Modifications:
HRDRV Inc. ("HRDRV", "we", "us", or "our") reserves the right to modify these Terms at any time. Material changes will be communicated via the HRDRV Website or email. Your continued use of the HRDRV Website after modifications constitutes acceptance of the updated Terms. Please review these Terms regularly.
Definitions.
- "HRDRV Website" refers to the HRDRV domain located at https://www.hrdrv.com and its related applications, tools, and services.
- "End User" refers to any person accessing or using the HRDRV Website.
- "Service Provider" (or "Contractor") refers to individuals offering services on the HRDRV platform.
Account Registration.
To use certain HRDRV features, you must create an account and provide accurate, up-to-date information. You are responsible for maintaining the confidentiality of your account credentials.
- Personal Use Only: Your HRDRV account is personal and cannot be shared, transferred, or sold to third parties.
- Security: Notify HRDRV immediately at help@hrdrv.com if you suspect unauthorized account use.
Membership and Payments.
Membership Terms:
- HRDRV memberships are non-refundable.
- You may cancel at any time by visiting https://hrdrv.com/settings/billing. Cancellation must occur before the next billing cycle to avoid charges.
Event Payments:
- Event tickets are non-refundable. Credits may be transferred to another event or HRDRV member by contacting help@hrdrv.com.
Service Usage.
Restrictions:
- The HRDRV Website is intended for lawful, personal use only.
- You may not use the HRDRV Website for resale or unauthorized commercial purposes.
Content Rights.
- By using HRDRV, you grant us the right to use your content, image, and likeness for promotional purposes, unless you opt out by emailing help@hrdrv.com.
- You may not use the HRDRV logo, name, or branding without prior written consent.
Music Distribution.
Mandatory Distribution:
- Songs created using HRDRV's Beat Library must be distributed through HRDRV Distribution, unless otherwise discussed on an individual basis.
- HRDRV retains a 5% commission on net streaming revenue for all distributed tracks.

Cancellation:
- If you cancel your HRDRV membership, your music may be removed from HRDRV Distribution within 30 days unless otherwise arranged.
- Music distributed by HRDRV Distribution can be removed at any time, for any reason, with or without notice. This is a rare case.
Quality Standards:
- HRDRV reserves the right to decline the release of music that is poorly mixed, offensive, or lacks quality artwork.
Song Placement Terms.
By uploading content to HRDRV, you grant us the right to shop, pitch, use, and perform your songs and instrumentals across our channels and with third parties. All placements are non-exclusive unless otherwise communicated, and while placements are not guaranteed, you'll always be notified and compensated according to the following terms:
General Placement Terms:
- Compensation: HRDRV retains 50% of advance fees and co-publishing rights for placements with TV/Film, artists, brands, or companies. If you're self-published with no registered publisher, HRDRV retains 100% of the publisher's share. Writers always retain 100% of their share.
- Notifications: Placement details are sent via email or text. If HRDRV is unable to contact you, we may accept payments on your behalf and release funds within 14 days of re-establishing contact.
- Opt-Outs: To exclude specific songs from pitches or promotions, email help@hrdrv.com.
Producer-Specific Terms:
- Uploading Instrumentals: Uploading tracks is optional, but all uploads must be original or have collaborator consent. HRDRV reserves the right to edit genres, remove poorly mixed/mastered tracks, or non-exclusively distribute your instrumentals to artists, companies, and more.
- Placements: For placed tracks, HRDRV retains 50% co-publishing rights or 100% if you're self-published, plus 15% of any negotiated producer fees. Exclusive tracks sold outside HRDRV must be removed from our library.
- Exclusivity: If you sell an exclusive track previously released, you agree to create a new track or provide a similar replacement for the buyer.
General Terms:
- HRDRV can release or place songs and instrumentals without prior consent if you're unreachable but will notify you of placements via email or text. Royalty shares and fees will be restored once contact is re-established.
- Placements are negotiated case-by-case, ensuring fair terms for all parties.
Independent Contractors.
Service Providers are independent contractors, not employees of HRDRV. HRDRV is not responsible for the quality of services provided by contractors.
Communication:
- All communications regarding services must occur within the HRDRV platform. HRDRV does not monitor or support external interactions.
Commissions:
- HRDRV charges a 12% service commission on all contractor transactions.
User Conduct.
When using the HRDRV Website, you agree to:
- Abide by all applicable laws and these Terms.
- Avoid prohibited activities such as hacking, spamming, or misrepresenting your identity.
- Use HRDRV responsibly and refrain from sharing sensitive information without discretion.
Prohibited activities include, but are not limited to:
- Attempting to reverse engineer, hack, or disrupt the HRDRV Website.
- Posting offensive, defamatory, or unlawful content.
- Harvesting personal information from other users without consent.
Intellectual Property.
All content, trademarks, and intellectual property on the HRDRV Website belong to HRDRV or its licensors. You may not copy, distribute, or modify HRDRV content without explicit permission.
Limitation of Liability.
HRDRV is not liable for:
- Third-party actions or services accessed through the HRDRV Website.
- Damages resulting from interruptions, errors, or unauthorized access to the HRDRV Website.
Your sole remedy for dissatisfaction with HRDRV is to discontinue use of the HRDRV Website.
Dispute Resolution.
Mandatory Binding Arbitration:
All disputes, claims, or disagreements related to these Terms, your use of HRDRV, or any services provided must be resolved exclusively through binding arbitration. This means you cannot sue HRDRV or take any disputes to court.
No Court or Jury Trials:
By agreeing to these Terms, you waive your right to file a lawsuit, participate in a trial by jury, or bring any claims in court.
No Class Actions:
All disputes must be resolved on an individual basis. Group, class, or collective claims are not allowed in arbitration or elsewhere.
Final and Binding:
The arbitrator's decision is final and binding on both parties, and their judgment may be enforced by any court with proper jurisdiction.
Governing Law:
This arbitration agreement is governed by the Federal Arbitration Act (FAA) and is as broad as legally allowed.
By using HRDRV, you agree to this arbitration clause and give up your right to sue or take disputes to court. If you disagree, do not use HRDRV.
Consent to Electronic Communications.
By using the HRDRV Website or providing Personal Information, you consent to receive electronic communications about security, privacy, and administrative matters. If a security breach occurs, we may notify you via the website or email. To request written notice or withdraw consent, email us at help@hrdrv.com.
SMS Text Messages and Push Notifications
When registering, HRDRV may send SMS messages to verify your phone number and keep you informed. By using the website, you agree to receive these messages. You can:
- Disable push notifications on your device, or
- Reply "STOP" to opt out of SMS messages.
To unsubscribe from any list, email help@hrdrv.com with "OPT-OUT" or similar in the subject line.
You may incur charges based on your carrier plan, and HRDRV is not responsible for these charges or delivery issues caused by third parties or carriers.
Termination.
HRDRV reserves the right to terminate your access to the HRDRV Website at any time for violations of these Terms. Upon termination:
- Outstanding payments remain due.
- Music distributed by HRDRV Distribution will be removed within 30 days.
Miscellaneous.
- Governing Law: These Terms are governed by the laws of California.
- Entire Agreement: These Terms constitute the entire agreement between you and HRDRV.
- Severability: If any provision is found invalid, the remaining provisions remain enforceable.
